License Agreement

Celigo ServiceManager for NetSuite License Agreement
This License Agreement defines the terms and conditions under which you (the Licensee) are permitted by Celigo Inc. (the Licensor) to use the Celigo ServiceManager for NetSuite.
1 Definitions
1.1	"Library" shall mean and include the software programs and files needed to integrate the Celigo ServiceManager for NetSuite with a software application, including documentation, examples, include files, declarations, source code, utility programs, and libraries.
1.2	"ServiceManager Bundle" shall mean and include the following software programs and files included with the Library:

1.2.1 The ServiceManager.dll file;
1.2.2 Any additional DLL file that has been provided by the Licensor at the time of the purchase;
1.2.3 Additional files included by the Licensor at the time of the purchase which may among others, include third party license information, declarations, etc.
1.3	"Application Program" shall mean and include one or more software programs or Web applications created by the Licensee which use the Celigo ServiceManager Library.
2 License grant
2.1 Licensor hereby grants to Licensee, and Licensee hereby accepts, subject to the terms and conditions set forth in this Agreement, a non-exclusive license to use Library as set forth in this Agreement. The term "license" as used in this Agreement shall mean and include:
2.1.1 The right to use Library for in a single Application Program and deploy the said Application Program for internal use on a single computer system or workstation at one time;
2.1.2 The right to make a reasonable number of backup copies of the Library;
2.1.3 The right to modify and/or reuse any source samples code provided with the Library.
Licensee may not use any Application Program for any commercial purpose or redistribute the Service Manager Bundle.  Any redistribution and/or commercial use shall be subject to a separate written license agreement between Licensor and Licensee.
3 Transfer
3.1	The Library is licensed to a single organization or individual. The Library may be transferred together with this Agreement provided the transferee agrees to the terms and conditions of this Agreement. The name and address of the transferee must be reported to Licensor. When the Library and License Agreement are transferred, all copies, upgrades, prior versions, and documentation must be either transferred or destroyed.

Transferring the Library terminates this License Agreement with the original Licensee.
4 Restrictions
4.1	In accepting the license granted by Licensor, Licensee agrees that it shall not
4.1.1 Include the ServiceManager Bundle with a product which is itself a Library, software component, or software library;
4.1.2 Permit its end-users to redistribute the ServiceManager Bundle;
4.1.3 Loan or rent Library to a third party; or
4.1.4 Attempt to disassemble or reverse-engineer software included with the Library.
5 Term of Agreement
5.1	The term of this Agreement shall commence at the time Licensee receives the Library and shall continue in effect indefinitely unless terminated as specified in Termination of Agreement, below.
6 Termination of Agreement
6.1	The Licensee may terminate this Agreement at any time by destroying all copies of Library. In the event of a material default by the Licensee or the Licensee's agent or representative, of any provision of this Agreement, the Licensor may terminate this Agreement on written notice. Upon termination of the Agreement, the Licensee shall either destroy all licensed copies of Library, and all backups, or return them to Licensor. This obligation shall survive the termination of this Agreement.
7 Copyright and proprietary information
7.1	Licensee acknowledges that Library, the Service Manager Bundle (excepting any elements of the Service Manager Bundle expressly identified as belonging to any third party) and all supporting documentation (collectively, the �Licensor IP�) constitute valuable property of Licensor and that all title and ownership rights in the Licensor IP remain exclusively with Licensor.
7.2	Licensor reserves all rights with respect to the Licensor IP under all applicable laws for the protection of proprietary information, including, but not limited to, trade secrets, copyrights, trademarks, and patents.
7.3	Except as otherwise provided in this Agreement, Licensee shall not cause or permit unauthorized copying, reproduction, or disclosure of any portion of the Licensor IP, or the delivery or distribution of any part thereof to any third person or entity, for any purpose whatsoever, without the prior written permission of Licensor. This restriction shall continue to bind Licensee and its agents and representatives beyond the termination of this Agreement.
7.4	Licensee shall not remove or alter any copyright notice that is incorporated in or on any element of the Licensor IP.
8 Indemnification
8.1	Licensee shall indemnify and defend Licensor against any and all claims, including claims by third parties or employees of Licensee, which arise directly or indirectly out of Licensee's use or operation of the Licensor IP.
9 DISCLAIMER OF WARRANTY
THIS LIBRARY IS PROVIDED "AS IS" AND WITHOUT WARRANTIES AS TO PERFORMANCE OR MERCHANTABILITY.
THIS LIBRARY IS PROVIDED WITHOUT ANY EXPRESS OR IMPLIED WARRANTIES WHATSOEVER. BECAUSE OF THE DIVERSITY OF CONDITIONS AND HARDWARE UNDER WHICH THIS LIBRARY MAY BE USED, NO WARRANTY OF FITNESS FOR A PARTICULAR PURPOSE IS OFFERED. LICENSEE IS ADVISED TO TEST THE LIBRARY THOROUGHLY BEFORE RELYING ON IT. LICENSEE MUST ASSUME THE ENTIRE RISK OF USING THE LIBRARY. ANY LIABILITY OF LICENSOR WILL BE LIMITED EXCLUSIVELY TO REPLACEMENT OF THE LIBRARY.
